Thank you for helping to grow our TruckSmarter community. From time to time, TruckSmarter, its subsidiaries and affiliates ("TruckSmarter") may invite you to participate in one of their referral programs to encourage people to use the TruckSmarter applications and/or websites. 

The TruckSmarter Referral Program (“The Referral Program”) allows existing TruckSmarter users (“Referrer”) to earn a Referral Bonus (“Referral Bonus”) for referring an individual or entity (“Referee”) to sign-up for the TruckSmarter Platform or to participate in one of TruckSmarter’s two Programs - the Factoring Program or the Fuel Program, subject to the Terms and Conditions below.  In some circumstances, the Referee may also be eligible for a Referral Bonus, subject to the Terms and Conditions below. 

To participate, Referrer and Referee must agree to these terms, which become part of the TruckSmarter Terms of Service. Capitalized terms that are not defined here will have the same meaning given to them in the TruckSmarter Terms of Service.

How to Earn a Referral Bonus

Referrers (and Referees, as applicable) can earn a Referral Bonus if: (i) a Referee enters their referral link to create a valid TruckSmarter account that complies with our Terms of Service; and (ii) the Referee meets the Referral Criteria (as defined below).  

Any eligible Referral Bonuses will be paid to the Referrer (and Referee as applicable) within ten (10) days of the Referral Criteria being satisfied.   

Referral Criteria

Platform Referral Requirements: In order for a Referrer (and Referee, as applicable) to be eligible for a Platform Referral Bonus, all of the following “Referral Criteria” must be met:

1. The Referrer must be an existing TruckSmarter user with an eligible referral code listed in the Referrer’s “Profile” tab of the TruckSmarter app or website. 

2. The Referee must use the Referrer’s referral code at the time of Platform sign-up.

3. The Referee must successfully connect a broker account new to TruckSmarter and unique to the particular user within 30 days of inputting Referrer’s code in order for the Referrer to be eligible for Referral Bonus.

Fuel Program Referral Requirements: In order for a Referrer (and Referee, as applicable) to be eligible for a Referral Bonus for making a Fuel Program referral, all of the following “Referral Criteria” must be met: 

1. The Referrer must be an existing TruckSmarter user with an eligible referral code listed in the Referrer’s “Profile” tab of the TruckSmarter app or website. 

2. The Referee must use the Referrer’s referral code at the time of platform sign-up.

3. The Referee must complete at least one successful fuel reservation for 100 or more gallons within 30 days of inputting Referrer’s code.

Factoring Program Referral Requirements:  In order for a Referrer (and Referee, as applicable) to be eligible for a Referral Bonus for making a Factoring Program referral, all of the following “Referral Criteria” must be met: 

1. The Referrer must be an existing TruckSmarter user with an eligible referral code listed in the Referrer’s “Profile” tab of the TruckSmarter app or website. 

2. The Referee must use the Referrer’s referral code at the time of platform sign-up.

3. The Referee must complete all requirements for TruckSmarter’s onboarding process for the Factoring Program, including, but not limited to the following, within 90 days of inputting Referrer’s code:

   1. Referrer and Referee must accept TruckSmarter’s Terms of Service. 

   2. Referee must sign the Non-Credit Recourse True Sale Factoring Agreement, Personal Guaranty, and Notice of Assignment.

   3. Referee must apply and complete Unit’s KYC process for banking.

   4. Referee must provide all relevant business information to TruckSmarter for a UCC search and filing.

   5. The Referee must have a clear UCC search with no senior secured party stating an interest in accounts receivable OR a letter of release certifying any senior UCC filing is eligible to be terminated.  

4. The Referee’s first invoice must be purchased by TruckSmarter and meet the criteria of an eligible invoice for funding as outlined in the Non-Credit Recourse True Sale Factoring and Security Agreement [LINK] within 30 days of inputting Referrer’s code.

Referral Criteria eligibility and approval are determined at the sole discretion of TruckSmarter and are not guaranteed. 

The Referral Bonus may be paid in fuel credits to be redeemed through the TruckSmarter Fuel Program, or in USD, at TruckSmarter’s sole discretion.  All fuel credits, with the exception of fuel credits issued as a refund, expire one (1) month from issuance.  Only one fuel credit may be applied to a single fuel reservation (i.e. multiple credits may not be combined and redeemed in a single fuel reservation).  The amount and currency of the Referral Bonus, as well as whether the Referee is eligible to receive a Referral Bonus, is subject to change.  The specific Referral Bonus amount will be set at the time that the referral code is redeemed and all relevant referral criteria have been deemed to be satisfied in TruckSmarter’s sole discretion. 

A Referrer or Referee can earn up to an annual maximum in cumulative Referral Bonuses (this amount will be set annually). This maximum is a cumulative maximum across all referral programs.  Additionally, a Referrer may earn a Referral Bonus of up to one thousand dollars ($1,000) per month.  This maximum is a cumulative maximum across all referral programs.  Referrers cannot earn Referral Bonuses for referring themselves. Referrers suspected of fraud may be ineligible to receive Referral Bonuses. TruckSmarter Employees, contractors, or persons similarly associated with TruckSmarter or a TruckSmarter affiliate or influencer partner; members of their household, and registered representatives or any broker-dealer are not eligible.

Taxes

Referrers are responsible for any Tax consequences, if any, that may result from receipt of a Referral Bonus. Referrers and Referees shall provide any required tax information to TruckSmarter, as requested.

Sharing Referral Links

Referral links should not be published or distributed on commercial websites (such as coupon websites, Reddit, or Wikipedia) or on blogs. Referrers are prohibited from “spamming” anyone with referral invitations. This includes mass emailing, texting or messaging people the Referrer does not know or using automated systems or bots through any channel to distribute a referral link. Referrers are prohibited from paying to advertise their referral links.

Multiple Referrals

Only One Referrer can earn a Referral Bonus for a unique Referee.   A Referee may only use one referral code. If a Referee receives referral codes from multiple Referrers, the code entered when the Referee completes the referral program will be the one used.  

If a Referrer (and Referee, as applicable) qualifies for two different types of Referral Bonuses (for example, Platform and Fuel) at the time of a referral code redemption, the Referrer (and Referee, as applicable) will earn the Referral Bonus for each reward for which the Referee meets the reward criteria.

Severability

If any provision in these terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

Termination and Changes

TruckSmarter may suspend or terminate the Referral Program or a user’s ability to participate in the Referral Program at any time for any reason. 

TruckSmarter reserves the right to decline to grant or rescind a reward if TruckSmarter determines in its sole discretion that there are images or speech in connection with the referrer's referral link that are inaccurate, misleading, offensive, or violates community standards; or infringes on TruckSmarter's intellectual property rights, constitutes a domain name, creates the potential for confusion as to whether the page or content in question is TruckSmarter’s, or is otherwise improper. The offer is not transferable, sellable, or valid in conjunction with certain other offers and is available to U.S. residents only.  All Referrers must be 18 years of age or older. The offer is only available for personal use, and may not be used for commercial purposes. Referrer represents that they have the necessary consent from Referee to send them any text or email relating to this Program.

TruckSmarter reserves the right to suspend accounts or retract a Referral Bonus if there is any activity that TruckSmarter believes is abusive, fraudulent, or in violation of the TruckSmarter Terms of Service. TruckSmarter reserves the right to review and investigate all referral activities and to suspend accounts or modify referrals in its sole discretion as deemed fair and appropriate.

The Referral Bonus amount (if any) may vary, and TruckSmarter reserves the right to change the Referral Bonus amount offered. 

Updates to the Terms

TruckSmarter can update these terms at any time without prior notice. If TruckSmarter modifies these terms, TruckSmarter will post the modification on the TruckSmarter.com website, applications, or services, which are effective upon posting. Continued participation in the Referral Program after any modification shall constitute consent to such modification.
